Terms and Conditions

Welcome to Airfield Design. These Terms and Conditions (“Terms”) govern the services we offer. By accessing or using our website and services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you should not use our website or services.


Definitions

“Services” refers to the graphic design, copy writing, photography, creative thinking and other related creative services provided by Airfield Design.

“Client” refers to any individual or entity that uses our Services.

“Deliverables” refers to the final creative work provided to the Client by Airfield Design as a result of the Services.


Scope of Services

Project Proposal: Before commencing any work, we will provide a project proposal outlining the scope, deliverables, timeline, and costs associated with the project.

Revisions: The proposal will include a specified number of revisions. Additional revisions beyond this scope may incur additional fees.

Client Responsibilities: The Client agrees to provide timely feedback, necessary materials, and approvals required for the completion of the project.


1. Charges & Billing

1.1 Quoted Prices: All estimated prices quoted, whether written or verbal, are for the listed and mentioned services only. Any additional services required to complete a project will be quoted for in advance and charged accordingly. Deliveries and couriers are additional.

1.2 Estimates Basis: All estimates are based on expected or agreed design time and include a specified number of author’s corrections where alterations are called for by the client, or if additional changes are required by the client.

1.3 Charges and VAT: All charges & prices for services carried out by Airfield Design are subject to VAT (where applicable) at the prevalent rate.

1.4 Change in Brief: Where there is a change to the agreed brief, Airfield Design will inform the Client in advance of any extra costs likely to be incurred.

1.5 Billing: All work is billed either monthly or on completion of project stage, or the relevant hourly charge as previously agreed.

1.6 Payment Terms: For new Clients, payment for a percentage of the full amount + VAT may be requested in advance of commencement, as agreed between parties. For any subsequent invoiced work, the Client must receive full payment not later than 30 days after the date of the Invoice. Airfield Design reserves the right to make a surcharge of 2% per month interest to accounts that are not paid by this time. 

1.7 Stage Invoicing: Airfield Design may invoice in project stages, upon stage completion unless other terms have been agreed with the client.

1.8 Disbursement Invoicing: The Company reserves the right to invoice for any disbursements for part works carried out including third party costs incurred on a project should the project be unable to be completed for any reason or has been delayed/put on hold by the Client for a period of 4 weeks or more then stage invoicing will occur.

1.9 Final Payment: The Company reserves the right to request final payment be made prior to the handing over of final creative or digital files.

1.10 Withholding Services: Unless full payment has been made on the Client’s account and all project costs have been cleared, Airfield Design reserves the right to withhold future supply of goods and, in the case of web services, this may include recalling services including the hosting of websites.

1.11 Cancellation Charges: If at any point during the design or development cycle a client wishes to cancel, they may do so but will be invoiced an amount that Airfield Design judges to be proportional to the amount of work completed on the commission and further compensatory charges for booked design time or printing press time or any other supply costs accruing.

1.12 Meetings ans account management: Costs provided allow for occasional meetings at key stages for a reasonable length of time between the agency and client. Some meetings may incur additional charges for time spent, although the client would be made aware of this in advance.

1.13 Other costs: Unless otherwise agreed, our fees are exclusive of third party creative materials (eg stock photography, video footage, html templates, or third party services) commissioned or purchased by us on the Clients behalf. Airfield design will notify the client of any additional third party costs ahead of purchase by Airfield Design. 

1.14 Expenses: Out-of-pocket expenses and expense claims (for travel, materials, substance etc.) are not included  in our fees unless agreed in advance. Airfield Design will inform the Client of estimates of out of pocket expenses ahead of booking or purchase. 


2 Project Work

2.1 Project Schedule: Projects are scheduled based on mutual agreement. Deviations from this schedule by the Customer may impact final delivery deadlines. If such deviations are foreseen, the Company will promptly inform the Customer and propose feasible alternative solutions, potentially incurring additional costs.

2.2 Time frames: Any time frame provided by the Company for a design project should be viewed as an estimate. The Company cannot be held accountable for any project delays, regardless of the cause. The Company is committed to taking commercially reasonable steps to fulfil the Customer’s requests. If this is not achievable, an alternative solution, albeit possibly less favourable, may be proposed.

2.3 The Company reserves the right to engage freelance support or outsource any task if it deems it beneficial for the Customer. Any outsourced work remains the property and responsibility of the Company, considered to be indirectly carried out by the Company.

2.4 Upon approval of final proofs/materials, the Company holds no financial responsibility for errors in print, programming, or the end product.

2.5 While every effort is made to meet agreed delivery dates, the Company cannot be held liable or financially accountable for missed targets or deadlines resulting from factors beyond its control.

2.6 In larger projects involving third parties directly commissioned by the Customer, the Company bears no responsibility for services not managed directly or indirectly by the Company.


3. Ownership 

3.1 Third-Party Rights: Airfield Design makes no representations that the design of any media for the Client infringes upon any trademarks, trade names, service marks, or other proprietary rights owned by a third party. The Client shall not hold Airfield Design liable for any damages, injuries, or losses incurred as a result of any action instituted by a third party.

3.2 Client Responsibilities: The Client must obtain permission for Airfield Design to use any material that is the copyright of a third party. Furthermore, the Client represents to Airfield Design and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Airfield Design for inclusion in the design project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements.

3.3 Intellectual Property: Copyright to the finished design project is owned by Airfield Design. Upon final payment of this contract, the Client is assigned rights to use the final output artwork. Rights to photos, graphics, source code, working files (final or otherwise), and computer programs are specifically not transferred to the Client (unless initially supplied by the client) and remain the property of their Airfield Design. Airfield Design retains the right to display graphics and web design elements as examples of work in our respective portfolios.

3.4 Final Artwork: If requested, the agency will (at its discretion) provide the client with final output artwork in a form fit for reproduction and in a format that specifically fulfils the requirements for the brief. (e.g., print-ready PDF; outlined EPS file, audio-visual file html code.). However, Airfield does not by default provide clients with any working files (final or otherwise), otherwise known as ‘source’ files or ‘native’ files (for example, an InDesign file, layered Photoshop file, offline movie or animation edits) or any development files, rejected concepts and designs, images, or documents generated throughout the project. Should the Client require these files for use by a third party, they will be subject to a separate quotation or ‘buy-out’ charge. Ownership and copyright of all unused or rejected files, documents, and designs will reside with Airfield Design for non-exclusive future use. The agency will not supply fonts under any circumstances.

3.5 Choice of Designs: If a choice of designs is presented during the creative process, only the design chosen by the Client shall be deemed as fulfilling the contract. All other designs remain the property of Airfield Design, unless specifically agreed in writing.

3.6 Design Concepts: Should Airfield Design provide design concepts as part of a pitch (whether free of charge or subject to a pitch fee), the design (which includes all design concepts) remains the property of Airfield Design until such time it is purchased by the Client.

3.7 Rejection of Designs: The Client has the right to reject Airfield Design’s designs, but Airfield Design will pursue damages should the Client utilise any of the design concepts shared with the Client.

3.8 Indemnification: The Client agrees to fully indemnify and hold Airfield Design free from harm in any and all claims resulting from the Client not having obtained all the required copyright, and/or any other necessary permissions.

 
4. Non-Hiring of Employees

The Client agrees not to directly or indirectly solicit, recruit, employ, or engage any current or former employees of Airfield Design for a period of two (2) years following the termination of any engagement with Airfield Design, without the prior written consent of Airfield Design. This includes but is not limited to full-time, part-time, temporary, or freelance employees. Any breach of this provision will result in the Client being liable to pay Airfield Design an amount equal to twelve (12) months’ salary of the employee concerned at the time of termination. This clause shall survive the termination of any engagement between the Client and Airfield Design.


5. Disclaimer of Warranties and Limitation of Liability

5.1 Airfield Design makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies. Airfield Design will not be held responsible for any and all damages resulting from products and/or services it supplies. Airfield Design is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The Client agrees not to hold Airfield Design responsible for any such loss or damage. Any claim against Airfield Design shall be limited to the relevant design fee(s) paid by the Client.

5.2 The agency recommends that clients use our preferred suppliers for print. If a client prefers to use their own print supplier, the agency will provide artwork directly to the client to manage and forward, and will be unable to monitor, advise, or take any responsibility for the process or final output.

5.3 The information on this website is here for general info only. Airfield Design provides this information, and while we try to keep it up-to-date and correct, we don't make any promises about its completeness, accuracy, reliability, suitability, or availability. Any use of this information is at your own risk.

5.4 We won't be responsible for any loss or damage, including indirect or consequential loss, or any loss of data or profits related to the use of this website.

5.5 This site may have links to other websites that we don't control. We have no control over the content and availability of those sites. Just because we link to them doesn't mean we endorse or recommend their views.

5.6 We do our best to keep the website running smoothly. However, Airfield Design isn't responsible for, and won't be liable for, the website being temporarily unavailable due to technical issues beyond our control.
